1. INTRODUCTION AND ACCEPTANCE OF TERMS
Welcome to Circuitz Recycling LLC (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your engagement with Circuitz Recycling LLC, a Clark County, Ohio-based limited liability company specializing exclusively in the secure, environmentally compliant recycling of end-of-life electronics and Department of Defense (DoD)-standard data destruction services. By accessing our website, submitting an inquiry, scheduling a pickup, delivering materials to our facility, or otherwise utilizing our services, you (“Customer,” “you,” or “your”) expressly acknowledge and agree to be bound by these Terms, our Privacy Policy, and all applicable federal, state, and local laws. If you do not agree with any provision herein, you must immediately cease all use of our services. These Terms apply to all individuals, businesses, government entities, and organizations engaging with Circuitz Recycling LLC. Services are void where prohibited by law. Circuitz Recycling LLC reserves the right to modify these Terms at any time. Continued use of our services following the posting of revised Terms constitutes acceptance of those changes. We encourage you to review this document periodically.
2. DEFINITIONS
For clarity and legal precision, the following terms hold specific meaning throughout these Terms:
- “Accepted Materials”: Electronics explicitly listed in Section 9 (e.g., motherboards, CPUs, RAM, hard drives, power supplies, graphics cards, WiFi/fingerprint cards).
- “Certificate of Data Destruction”: A formal document issued post-service verifying compliance with DoD 5220.22-M or NIST SP 800-88 standards.
- “Data-Bearing Device”: Any component capable of storing digital information (HDDs, SSDs, USB drives, etc.).
- “DoD-Standard Data Destruction”: Physical shredding/pulverization rendering media irrecoverable per U.S. Department of Defense protocols.
- “R2 Principles”: Responsible Recycling Practices framework (SERI R2:2013/2023), emphasizing environmental safety, worker health, and chain-of-custody integrity.
- “Refiner”: A licensed, vetted downstream processor specializing in material recovery of metals, plastics, and components.
- “Prohibited Activities”: Refurbishment, resale, donation, leasing, or reuse of any electronic equipment or components.
3. SCOPE OF SERVICES
Circuitz Recycling LLC operates strictly as a downstream recycling and data security partner. Our services include:
- B2B Logistics & Collection: Free scheduled pickup of Accepted Materials from qualifying business clients within Clark County, Ohio, and designated surrounding regions. Qualification is determined by volume, material type, and logistical feasibility.
- DoD-Standard Data Destruction: On-site or facility-based physical destruction of Data-Bearing Devices. No software wiping. Media is shredded to particle size ≤2mm.
- Component Dismantling & Sorting: Manual separation of Accepted Materials into material-specific streams (ferrous/non-ferrous metals, circuit boards, plastics) for transfer to certified Refiners.
- Documentation: Provision of Certificates of Data Destruction and Recycling Compliance Reports upon request.
CRITICAL EXCLUSION: Circuitz Recycling LLC DOES NOT engage in, facilitate, or endorse the refurbishment, resale, donation, leasing, testing, repair, or reuse of any electronic device, component, or system. All materials received are processed solely for material recovery. Any representation suggesting otherwise is expressly denied. Title to all materials transfers irrevocably to Circuitz Recycling LLC upon acceptance.
4. CUSTOMER RESPONSIBILITIES & WARRANTIES
You warrant and represent that:
- You possess full legal authority to surrender all materials provided.
- Materials are free of liens, encumbrances, or third-party claims.
- All data has been backed up prior to surrender; you assume full risk for any data loss occurring before our custody.
- Materials contain no hazardous contaminants beyond normal operational levels (e.g., mercury switches, PCBs, biohazards, explosives).
- You have disclosed all known hazards (e.g., swollen batteries, liquid damage) in writing prior to pickup/drop-off.
- Materials comply with 40 CFR §261 (EPA hazardous waste regulations) and Ohio Revised Code Chapter 3734.
Failure to comply voids service eligibility and may incur handling fees or legal liability.
5. DATA DESTRUCTION PROTOCOL & LIABILITY RELEASE
Data security is non-negotiable. Our protocol:
- Chain-of-custody logging upon receipt.
- Isolation of Data-Bearing Devices in secured staging area.
- Physical destruction via industrial shredder meeting NAID AAA standards.
- Verification of particle size and irrecoverability.
- Issuance of Certificate of Data Destruction (digital or physical).
LIABILITY RELEASE: Upon completion of destruction, Customer irrevocably releases Circuitz Recycling LLC from any claim related to data confidentiality, privacy breaches, or intellectual property loss associated with the destroyed media. Customer acknowledges that destruction efficacy aligns with DoD/NIST standards but accepts that absolute technological guarantees cannot be warranted beyond industry-accepted protocols. Circuitz Recycling LLC is not liable for data compromised prior to our physical custody.
6. ENVIRONMENTAL COMPLIANCE & ETHICAL STANDARDS
Circuitz Recycling LLC is actively pursuing R2 certification and operates per its core principles:
- Zero landfill disposal of electronic waste.
- Zero export of hazardous e-waste to non-OECD nations.
- Full transparency in downstream Refiner vetting (audits, licenses, insurance).
- Adherence to Ohio EPA regulations, RCRA, and Basel Convention guidelines.
- Prioritization of veteran employment and community philanthropy.
All Refiners must provide valid certifications (R2, e-Stewards, ISO 14001). Audit trails for material flows are maintained for 7 years.
7. FEES, PAYMENT, AND TITLE TRANSFER
- B2B Collection: Free pickup for qualifying volumes (minimum 10+ units) of Accepted Materials within service zones. Non-qualifying requests may incur fees quoted in advance.
- Standalone Data Destruction: Fees apply per device. Quoted prior to service.
- Payment Terms: Invoices due within 15 days. Late payments incur 1.5% monthly interest.
- Title & Risk: Title and risk of loss transfer to Circuitz Recycling LLC upon: (a) loading onto our vehicle during pickup, or (b) signing the intake manifest at our facility.
- No Resale Value: Customers receive no compensation for materials. Value is derived from environmental stewardship and data security.
8. PROHIBITED ITEMS & MATERIAL RESTRICTIONS
We DO NOT ACCEPT:
- CRT monitors, televisions, or leaded glass.
- Lithium-ion/polymer batteries (unless installed in devices; removed onsite).
- Appliances, medical devices, or industrial machinery.
- Items contaminated with biohazards, chemicals, or radiation.
- Media containing classified government information (without authorized clearance documentation).
- Any item suggesting illegal origin or activity.
We reserve the right to refuse, quarantine, or return non-compliant materials at Customer’s expense.
9. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY OHIO LAW (O.R.C. §1345.01 ET SEQ.):
- Circuitz Recycling LLC’s total liability for any claim arising from services shall not exceed the total fees paid by Customer for the specific service event.
- IN NO EVENT SHALL CIRCUITZ RECYCLING LLC BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR REGULATORY FINES), EVEN IF ADVISED OF POSSIBILITY.
- Liability for property damage during pickup is limited to repair/replacement value of damaged items directly caused by gross negligence.
- “AS IS” BASIS: SERVICES ARE PROVIDED WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Circuitz Recycling LLC, its owners (including Jim Cooper), employees, agents, and affiliates from any claims, losses, liabilities, damages, fines, or expenses (including reasonable attorneys’ fees) arising from:
- Your breach of these Terms.
- Misrepresentation of material ownership, condition, or contents.
- Failure to disclose hazards.
- Third-party claims related to your surrendered materials.
- Violation of data privacy laws (e.g., GDPR, CCPA, HIPAA) prior to our custody.
11. CONFIDENTIALITY & PRIVACY
- Customer business information (contact details, volume data) is confidential and used solely for service delivery.
- Recycling manifests and destruction certificates are shared only with authorized personnel and Refiners under strict confidentiality agreements.
- Personal data handling complies with our separate Privacy Policy (referenced herein).
- No customer data is sold, leased, or used for marketing without explicit consent.
12. TERM, TERMINATION, AND SUSPENSION
- These Terms remain effective while services are active.
- Either party may terminate future service agreements with 30 days’ written notice.
- Circuitz Recycling LLC may immediately suspend services for:
- Suspected fraud or misrepresentation.
- Submission of Prohibited Items.
- Non-payment of fees.
- Violation of law.
- Sections 5 (Data Destruction Release), 9 (Liability), 10 (Indemnification), and 14 (Governing Law) survive termination.
13. FORCE MAJEURE
Circuitz Recycling LLC is not liable for failures or delays resulting from circumstances beyond reasonable control, including but not limited to: acts of God, pandemics, war, terrorism, labor disputes, utility failures, regulatory changes, or supply chain disruptions affecting Refiner operations. Service timelines may be adjusted accordingly.
14. GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION
- Governing Law: These Terms are governed by the laws of the State of Ohio.
- Venue: Any legal action shall be filed exclusively in the Courts of Clark County, Ohio.
- Dispute Resolution: Parties agree to mediate disputes in good faith with a mutually agreed Ohio mediator prior to litigation. Costs shared equally.
- Waiver: Failure to enforce any provision is not a waiver of future enforcement.
- Severability: If any clause is deemed unenforceable, the remainder of the Terms remains valid.
15. MISCELLANEOUS PROVISIONS
- Entire Agreement: These Terms supersede all prior discussions, agreements, or representations.
- Amendments: Only written amendments signed by an authorized Circuitz Recycling LLC representative are valid.
- Notices: Official communications must be sent to our Clark County, Ohio business address (provided on Contact page).
- Assignment: Services and obligations are non-transferable without prior written consent.
- Electronic Signatures: Digital acceptance (e.g., form submission, email confirmation) carries legal equivalence to handwritten signatures per ESIGN Act and Ohio UETA.
- Veteran Commitment: While not a contractual term, Circuitz Recycling LLC reaffirms its mission to prioritize veteran hiring and support veteran-focused community initiatives.
16. ACKNOWLEDGEMENT
BY ENGAGING CIRCUITZ RECYCLING LLC’S SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND VOLUNTARILY AGREED TO THESE TERMS AND CONDITIONS. YOU CONFIRM YOU ARE AUTHORIZED TO BIND YOUR ORGANIZATION TO THESE TERMS. YOU EXPRESSLY WAIVE ANY RIGHTS TO CLAIM OTHERWISE.
